I. Recommendation

 

Pursuant to Chapter XI, Section D, 1, b, (2), (a) of the Code of the Chicago Park District, it is recommended that the General Superintendent and CEO or his designee enter into a contract with Windstream Holdings, Inc. to provide internet service to remote park sites owned by the Chicago Park District.

Authorization:                     Authorize the General Counsel to include other relevant terms and conditions in the written Agreement.  Authorize the General Superintendent to execute the Agreement and the Secretary to attest as to the signing of the Agreement and keep an original copy of the Agreement on file.

IV. Procurement Information

 

Pursuant to Chapter XI, Section D, 1, b, (2), (a) of the Code of the Chicago Park District, competitive sealed bidding is not required in cases involving the purchase of “…telecommunications service or other public utility” 

 

 

 

V.                     Explanation

 

The Department of Information Technology network is currently connected to 250 site locations citywide. The network provides connectivity to the internet, email, shared files, registration hosted server for ActiveNet, and other enterprise applications of the Chicago Park District.  The majority of these connected sites use fiber or copper trenched underground. However, there are sites that do not have carrier nearby underground infrastructure. These sites, mostly fieldhouses, connect by means of wireless point-to-point network connection provided by Windstream, formerly Business Only Broadband (BOB).

Windstream Holdings, Inc., also doing business as Windstream Communications or Windstream, is a provider of voice and data network communications (broadband, VoIP, MPLS), and managed services (virtual servers, managed firewall, data storage, cloud-based voice, etc.), to businesses in the United States. The company also offers residential broadband, phone and digital TV services to consumers within its coverage area. It is the ninth largest residential telephone provider in the country with service covering more than 8.1 million people in 21 states.  Headquartered in Little Rock, Arkansas, Windstream has more than $6 billion in annual revenues.

 

 

V. General Conditions

 

1) Conflicts: The Agreement shall not be legally binding on the Chicago Park District if entered into in violation of the provisions of 50 ILCS 105, the Public Officer Prohibited Activities Act.

 

2) Ethics: The Chicago Park District’s Ethics Code, Chapter III of the Code of the Chicago Park District, shall be incorporated into and made part of the agreement.

 

3) Contingent Liability:  Any agreement lawfully entered into for a period of more than one year shall be executory only for the amounts for which the Park District may become liable in succeeding fiscal years pursuant to 70 ILCS 1505/17(i).  The agreement shall contain a clause that any expenditure beyond the current fiscal year is subject to appropriation in the subsequent fiscal year budget.
