I. Recommendation
Pursuant to Chapter XI, Section C.3.a of the Code of the Chicago Park District, the Director of Risk Management and the Director of Purchasing recommend that the Board of Commissioners of the Chicago Park District (the “Board”) authorize the General Superintendent and CEO or their designee be authorized to enter into a contract with LIFESAFETY365 L.L.C., for the supply, delivery, installation, and program management of automated external defibrillators (AEDs) district-wide.

Contract Period: Three (3) year initial term with one (1) two (2) year extension option.
Contract Amount: Not-to-Exceed $1,008,040.48 for the initial three (3) year term. Expenditures remain subject to annual appropriations and each year’s budget. If extension option is exercised, funding shall be based upon available annual appropriations.
Compliance Goals: The Minority and Women-Owned Business Enterprise (MBE/WBE) participation for this contract meets the compliance goals of 25% MBE participation and 5% WBE participation. The proposal for this authorization includes 95% participation with LIFESAFETY365 L.L.C as a MBE, self-preforming vendor and 5% WBE participation.
Scope of Services: Supply, delivery, installation, and program management of AEDs district-wide. Services will also include training and certifying staff across the Park District on AED usage.
Authorization: Authorize the General Counsel to include other relevant terms and conditions in the written contract. Authorize the General Superintendent or their designee to execute the contract and the Secretary to attest to the signing of the contract and keep an original copy of the executed contract on file.

This contract was publicly advertised as an Invitation for Bid (“IFB”), P-25020. Two (2) bid packages were received by the Department of Purchasing on the due date; one (1) bid package was deemed non-responsive. The responsive package was submitted by LIFESAFETY365 L.L.C., a certified MBE vendor that currently works with the 360 Observation Deck, Brookfield Zoo, and Amazon providing maintenance and inspections for AED products, as well as AED and CPR training for over 1400 AEDs.
V. Explanation
The State of Illinois requires that the Chicago Park District maintain AEDs in a safe and operating condition. LIFESAFETY365 L.L.C. will provide maintenance, management, and
24-hour response service for all AEDs in and throughout the Chicago Park District. LIFESAFETY365 L.L.C.will also provide certified training for staff across the district in AED administration and usage as well as CPR. Therefore, it is in the best interest of the Chicago Park District to award LIFESAFETY365 L.L.C. the contract for the supply, delivery, installation, and program management of AEDs.
VI. General Conditions
1. Conflicts: No agreement authorized herein shall be legally binding on the Chicago Park District if entered into in violation of the provisions of the Public Officer Prohibited Activities Act, 50 ILCS 105/0.01 et seq.
2. Ethics: The contract shall contain a provision requiring compliance with Chapter III of the Code of the Chicago Park District ("Governmental Ethics").
3. Contingent Liability: Any agreement authorized herein that has a term of more than one year shall be executory only for the amounts for which the Park District may become liable in succeeding fiscal years pursuant to 70 ILCS 1505/17(i).
4. Economic Disclosure Statement (“EDS”): Contractor has submitted a full and complete EDS prior to submission to the Board for approval.
