I. Recommendation
It is recommended that an order be entered authorizing a 6-month Agreement extension and the related funding allocation for the management, maintenance and operation of the Chicago Park District golf facilities with Troon Golf /Indigo Sports (formerly known as Billy Casper Golf). The original Agreement award authorized a 15-year term beginning on January 1, 2009 ending Dec 31, 2023. The Purchasing Department will authorize a 180-day extension for this contract, beginning January 1, 2024, ending June 30 2024. It is recommended that the Board of Commissioners authorize funding for a 6-month extension in an amount not to exceed $471,000 to begin July 1 2024.

Scope of Services: The daily management, maintenance, and operation of six (6) golf courses, two (2) miniature golf courses, and three (3) driving ranges.
Authorization: Pursuant to Chicago Park District Code Chapter 11, Section D.1.b.(2)(d) and (e) (I). Authorize the General Counsel to include other relevant terms and conditions in the written Extension Agreement. Authorize the General Superintendent or designee to execute the Extension Agreement and the Secretary to attest as to the signing of the Extension Agreement and keep an original copy on file.

IV. Explanation
On December 10, 2008, the Board of Commissioners of the Chicago Park District (“CPD”) authorized the General Superintendent and CEO to negotiate an Operating Agreement with Billy Casper Golf Management (currently operating under Troon /Indigo Golf, Inc.,) for management, maintenance and operation of the Chicago Park District golf facilities. There are currently 6 golf courses, 3 driving rages and 2 mini golf courses included in the scope of services. The Chicago Park District entered into the Operating Agreement on January 1, 2009 and it expires on January 1, 2024.
It is recommended to extend the expiration date of this agreement to December 31, 2024. This will allow CPD to facilitate the most competitive Request for Proposal (“RFP”) process possible and yield the best proposals from firms within the industry. A later Agreement expiration date will allow an optimal RFP timeline that allows CPD to host site visits during peak golf season, where prospective proposers may become well-educated about our diverse portfolio of golf facilities. Once a selection has been made, the recommended extension provides an optimal timeline, if needed, for uninterrupted firm transition in the fall of 2024.
V. General Conditions
1. Conflicts: No agreement described herein shall be legally binding on the Chicago Park District if entered into in violation of the provisions of the Public Officer Prohibited Activities Act, 50 ILCS 105/0.01.
2. Ethics: The Chicago Park District’s Ethics Code, Chapter III of the Code of the Chicago Park District, shall be incorporated into and made part of the agreement, as extended.
3. Contingent Liability: Any agreement lawfully entered into for a period of more than one year shall be executory only for the amounts for which the Park District may become liable in succeeding fiscal years pursuant to Section 17(i) of the Chicago Park District Act, 70 ILCS 1505/17(i). The term of the Permit and Operation Agreement does not exceed one year.
4. Economic Disclosure Statement (“EDS”): The firm has submitted a full and complete EDS prior to execution of the contract.
