I. Recommendation
Pursuant to Chapter XI, Section C.3.a. and Chapter XI, Section D.7.a. of the Code of the Chicago Park District (the “Code”), the Director of Purchasing and the Director of Facility Management recommend that the Board of Commissioners of the Chicago Park District (“Board”) authorize the General Superintendent or their designee to exercise the first extension option on the Cooperative Purchasing: HVAC Products, Installation Services and Related Products and Services Agreement (the “Contract”) with Trane U.S. Inc. (the “Contractor”) for procurement of HVAC products, installation, services, and related products and services districtwide.
II. Initial Cooperative Purchasing Information; Authorization
Cooperative Purchasing: Pursuant to Chapter XI, D.7.a. of the Code, the Chicago Park District joined the City of Chicago’s contract with Contactor bearing contract no. 134953, specification no. 1198987 (“City Contract”).

Beneficial Interest: As noted in Section VII(4) below, the Contractor has submitted an Economic Disclosure Statement (“EDS”). As required by Chapter I, Section D.1(a)(1) of the Code, Section II(B)(2) of the Contractor’s EDS discloses the following persons or legal entities having a direct or indirect, current or prospective beneficial interest (including ownership) in excess of 7.5% of the Contractor:

Contract Period: The initial contract period is from December 1, 2025 to November 30, 2026. In its September 10, 2025 authorization, the Board authorized that in the event the City of Chicago exercised one or more extension options on the City Contract past such initial contract period, the Chicago Park District could likewise exercise one or more extension options. The City of Chicago has extended the City Contract to April 19, 2027. If the first extension option is exercised, funding shall be subject to annual appropriations.
Contract Amount: Not to exceed (NTE) $3,000,000 annually. Expenditures for services and/or goods remain subject to annual appropriations and each year’s budget. The Contract is a DUR (Depends Upon Requirements) contract, where the actual annual spending for the initial contract term and each contract extension term are based on the Chicago Park District’s identified need.
Scope of Services: Purchase of HVAC products, installation, services, and related products and services districtwide.
Authorization: Authorize the General Superintendent or their designee to include other relevant terms and conditions in the extension agreement (the “Extension”), subject to the review and approval of the General Counsel. Authorize the General Superintendent or their designee to execute the Extension and the Secretary to attest as to the signing of the Extension and keep an original copy of the Extension on file.
III. Performance to Date
Contractor has provided services related to HVAC products, installation, services, and related products and services to the Chicago Park District during the Contract’s initial term. Contractor has provided multiple quotes for both projects and services for Chicago Park District consideration and planning. Furthermore, Contractor has the capacity to meet the delivery requirements of the Chicago Park District. Contractor has also maintained good standing as a contractor and performed its duties in an efficient and timely manner.

V. Current MBE/WBE Compliance
Original
Compliance: The Minority Owned Business Enterprise (“MBE”) and Women Owned Business Enterprise (“WBE”) participation for the Contract meets 25% MBE participation and 5% WBE participation. The Contractor’s proposal for the Contract included compliance goals of 26% MBE participation and 6% WBE participation, as well as Good Faith efforts with the Chicago Park District.
Current
Compliance: The Contractor is currently providing 0% MBE participation and 0% WBE participation. In utilizing Contractor for its design services, the overall spend did not allow for outside subcontracting opportunities due to the level of the purchase. The Director of Purchasing and the Director of Facilities recommend that the Chicago Park District keeps Contractor available for future projects and continue monitoring Contractor's MBE/WBE compliance.
VI. Explanation of Recommendation
The Director of Purchasing and the Director of Facility Management request the Board to authorize the first extension option to the Contract for a new Contract end date of April 19, 2027.
The Department of Facility Management (“DFM”) maintains and regularly repairs heating, ventilation, and air conditioning (HVAC) equipment across 250 fieldhouses and other buildings throughout the Chicago Park District, and therefore requires the supply and delivery of HVAC products, installation, services, and related products and services for districtwide use. The Chicago Park District’s skilled trades staff rely on these materials and services to perform daily operations, maintenance, and smaller-scaled capital improvement projects in the parks. During the current term, the DFM utilized Contractor for multiple project quotes, technical solutions, and consultations that did not result in additional procurements of materials or services. However, it remains in the best interest of the DFM and the Chicago Park District to benefit from the City of Chicago’s larger buying power and economies of scale by continuing to join the City Contract.
Therefore, it is in the best interest of the Chicago Park District to exercise the first extension option of the Contract.
VII. General Conditions
1) Conflicts: No agreement authorized herein shall be legally binding on the Chicago Park District if entered into in violation of the provisions of the Public Officer Prohibited Activities Act, 50 ILCS 105/0.01 et seq.
2) Code of the Chicago Park District: The Extension shall be subject to the Code of the Chicago Park District, including but not limited to Chapter III (“Governmental Ethics”).
3) Contingent Liability: Any agreement lawfully entered into for a period of more than one year shall be executory only for the amounts for which the Chicago Park District may become liable in succeeding fiscal years pursuant to Section 17(i) of the Chicago Park District Act, 70 ILCS 1505/0.01 et seq.
4) Economic Disclosure Statement: Contractor has submitted a full and complete EDS prior to submission to the Board.
