I. Recommendation
It is recommended that an order be entered authorizing the General Superintendent or his designee to enter into a contract with Open Kitchens, Inc. for the purpose of preparing, packaging, and delivering daily breakfast, lunch, and snacks to participants in the Chicago Park District's summer day camps and the after school food service program. This contractor was selected pursuant to a publicly advertised Invitation for Bids. No work may commence and no payment shall be made prior to the execution of a written agreement.

Using funds from the United States Department of Agriculture, the Illinois State Board of Education will fully reimburse the Chicago Park District for both the operating and administrative costs of this program. Accordingly, the Chicago Park District will not incur any costs for operating this program.
Scope of Services: To prepare, package, and deliver daily fresh and nutritious breakfasts, lunches, and afternoon snacks to the participants in the Chicago Park District's summer day camp program five days a week in accordance with established federal, state and local guidelines and in agreement with the Illinois State Board of Education ("ISBE"). Also, to deliver after-school snacks to various Chicago Park District locations.

Authorization: Authorize the General Counsel to include other relevant terms and conditions in the written Agreement. Authorize the General Superintendent to execute the Agreement and the Secretary to attest as to the signing of the Agreement and keep an original copy of the Agreement on file.

Bid Evaluation Detail: Lowest responsible and responsive bidder
This contract was publicly advertised as an Invitation for Bids ("IFB") which was reviewed and approved by the ISBE prior to advertisement. There were four (4) categories for bid and bidders could bid on one, some, or all categories. Two (2) bids were received, opened publicly, and read aloud on the bid due date, and Open Kitchens, Inc. submitted the lowest bid for all four (4) categories. The Department of Purchasing found both bids received to be responsive and compliant with the MBE/WBE goals. Pursuant to ISBE requirements, the responsibility of each bidder had to be determined according to review of 12 criteria that were identified in the IFB. The ISBE also required that these criteria would be review on a pass/fail basis and the lowest bidder had to receive passing marks on all of them. Further, Chicago Park District ("CPD") staff visited Open Kitchen's facility and discussed the 2015 operation and the CPD's requirements during a meeting at the CPD. As a result, Open Kitchens, Inc. was found to be a responsible bidder. Therefore, based on the results of the bid review, it has been determined that Open Kitchens, Inc. is the lowest responsive and responsible bidder.
V. Explanation
The Chicago Park District ("CPD") requires the services of a company to prepare, package, and deliver daily, breakfasts, lunches, and snacks to the participants in the summer day camp program. Specifically, each day approximately 275 breakfasts, 22,235 lunches, and 18,500 snacks are prepared, packaged, and delivered to approximately 225 parks district wide. The food will be delivered during the summer day camp season which is June 29 through August 7, 2015.
The CPD provides the food for its summer camp program through the Summer Food Entitlement Program organized by the Illinois State Board of Education ("ISBE"). All food must meet ISBE, City of Chicago, and federal guidelines for nutrition and food safety. Additionally, the CPD is in the application process with the ISBE for the After-School Meals Program.
Open Kitchens, has the experience and capability to prepare and deliver the food required for the summer day camp program. Annually, they prepare and deliver school meals to 120 Chicago Public Schools ("CPS"), 220 Chicago Housing Authority ("CHA") sites, and 220 Department of Children and Family Services ("DCFS") sites, all under the most stringent food safety guidelines. Additionally, they successfully passed the ISBE's responsibility review as part of the IFB which included a site visit of their facility. It is therefore in the best interest of the Chicago Park District to recommend Open Kitchens, Inc. for award for the Summer Food Service Program contract.
VI. General Conditions
1. Conflicts: No agreement authorized herein shall be legally binding on the Chicago Park District if entered into in violation of the provisions of the Public Officer Prohibited Activities Act, 50 ILCS 105/0.01 et seq.
2. Ethics: The Chicago Park District's Ethics Code, Chapter III of the Code of the Chicago Park District, shall be incorporated into and made part of all agreements authorized herein.
3. Contingent Liability: Any agreement lawfully entered into for a period of more than one year shall be executory only for the amounts for which the Park District may become liable in succeeding fiscal years pursuant to Section 17(i) of the Chicago Park District Act, 70 ILCS 1505/17(i). All agreements authorized herein shall contain a clause that any expenditure beyond the current fiscal year is subject to appropriation in the subsequent fiscal year budget.
