AUTHORITY TO ENTER INTO AN AGREEMENT WITH
THE GRANT PARK ORCHESTRAL ASSOCIATION DOING BUSINESS FOR
THE GRANT PARK MUSIC FESITVAL

To the honorable Board of Commissioners of the Chicago Park District:
I. Recommendation
It is recommended that an order be entered authorizing the General Superintendent or his designee to enter into an agreement with the Grant Park Orchestral Association (GPOA) to provide services for the Grant Park Music Festival (the “Festival”). GPOA is a nonprofit entity that operates and produces the Festival as an internationally recognized choral and orchestral summer event series at the Jay Pritzker Pavilion, the Harris Theater and multiple Park District locations throughout the City of Chicago. All events are free and open to the public. Additionally, this organization provides educational programming opportunities to children enrolled in the Chicago Park District Sumer Day Camp as well as children and adults attending concerts and open rehearsals. No work may commence and no payment shall be made to the contract prior to the execution of a written agreement.

Scope of Services: GPOA will be responsible for all costs associated with the presentation and production of a minimum ten (10) week summer music festival of approximately thirty (30) performances per season featuring the Grant Park Orchestra and chorus. GPOA will continue to provide education and community engagement opportunities for Chicago youth, concert patrons and visitors to the Festival. GPOA will continue to expand the number and variety of performances in neighborhood parks. GPOA will accept the assignment of the collective bargaining agreements for the member of the Grant Park Orchestra and Chorus and will become the direct employer of a variety of other associated staff including the Orchestra and Chorus manager, Artistic Director and Principal Conductor.
Authorization: Authorize the General Counsel to include the other relevant terms and conditions in the written Agreement. Authorize the General Superintendent or his designee to execute the Agreement and the Secretary to attest as to the signing of te Agreement and keep an original of the Agreement on file.

IV. General Conditions
1. Conflicts: No agreement authorized herein shall be legally binding on the Chicago Park District if entered into in violation of the provisions of the Public Officer Prohibited Activities Act, 50 ILCS 105/0.01 et seq.
2. Ethics: The Chicago Park District’s Ethics Code, Chapter III of the Code of the Chicago Park District, shall be incorporated into and made part of all agreements authorized herein.
3. Contingent Liability: Any agreement lawfully entered into for a period of more than one year shall be executory only for the amounts for which the Park District may become liable in succeeding fiscal years pursuant to Section 17(i) of the Chicago Park District Act, 70 ILCS 1505/17(i). All agreements authorized herein shall contain a clause that any expenditure beyond the current fiscal year is subject to appropriation in the subsequent fiscal year budget.
4. Economic Disclosure Statement (“EDS”): Contractors have submitted a full and complete EDS prior to execution of the contract.
